PRIVATE PRACTICE PRO TERMS AND CONDITIONS:
1. These Terms and Conditions are made and entered into by and between you (“You”
“Your”) and The Private Practice Pro (“TPPP”) with offices at 150 Sanderling Lane,
Santa Barbara, CA 93117. You expressly agree to comply with and be bound by the
following Terms and Conditions and any other policies, rules or guidelines that may be
established by TPPP, as well as all applicable laws and regulations.
2. The information and forms provided to you by TPPP in connection with your
purchase of the TPPP online course The Private Practice Roadmap, including any
content, data, text, designs, graphics, images, photographs, illustrations, logos, icons
and links (collectively, the “Materials”) are owned exclusively by TPPP, and are
intended to educate and inform You on how to start up Your own private practice.
Subject to Your compliance with these Terms and Conditions, You may use the
Materials solely for the purposes of starting Your own private practice provided that
You do not remove any copyright or other proprietary notices contained therein. Use of
the Materials for any purpose other than as expressly authorized in these Terms and
Conditions is a violation of TPPP’s copyrights and other proprietary rights, and is
strictly prohibited. You further acknowledge that You do not acquire any ownership
rights in TPPP by using the Materials. You shall not challenge, contest or otherwise
impair TPPP’s ownership of the Materials.
3. The Materials are designed to be used by You in connection with Your private
practice. All Materials provided hereunder are delivered to you with the understanding
that TPPP does not represent that these are the only Materials available to You or that
such Materials should be used exclusively by You in connection with the startup and
operation of Your private practice. While TPPP does represent that the Materials are in
legal compliance, such Materials are not meant to replace the advice of compliance
professionals, nor do they substitute Your obligations to comply with legal, clinical, and
ethical requirements.
4. Subject to Your compliance with these Terms and Conditions, TPPP grants you a
limited license to use the Materials solely for the purposes stated above. You agree
and acknowledge that You will not give, resell, publish, assign, transfer or otherwise
distribute the Materials to another person or entity. Furthermore, You may not post the
Materials on Your website, social media or anywhere the public can copy and paste
them for their own use. If You wish to make the Materials available to Your clients, You
agree to do so by providing a link to the Materials accessible only to Your clients.
Notwithstanding anything to the contrary herein, all rights not specifically granted in the
license set forth above shall be reserved and remain always with TPPP.
5. You hereby agree and acknowledge the following:
(i) You have read and understand the Materials provided to you by TPPO,
and you assume all responsibility for clinical treatment(s) and documentation
specifically related to Your patients and private practice.

(ii) It is solely Your responsibility to stay informed of any changes in
certification requirements, state, local, and federal laws governing Your specific
practice and profession, and/or other rules and regulations that may require updating,
from time to time, the Materials provided to You by TPPP. TPPP rightfully assumes
that all Materials will be used by You in connection with a lawful and compliant private
practice, and use of the Materials will in no way release You from legal, ethical or other
obligations associated with Your practice or profession.
(iii) Upon completion of the sale of the Materials between You and TPPP,
no return of the Materials will be accepted. All Materials will be delivered to You in
Microsoft Word digital format, and You are responsible for ensuring that your computer
can access the Materials in this format. TPPP is released of any responsibility,
financial or otherwise, for Your failure to have a compatible system that works with this
platform and inaccessibility to the Materials.
(iv) Your purchase indicates that You agree to abide by the disclaimer and
waiver of liability as outlined below.
6. THE MATERIALS OBTAINED FROM TPPP ARE PROVIDED “AS IS” AND “AS
AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE PURSUANT TO APPLICABLE
LAW, TPPP DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, WITH
RESPECT TO THE MATERIALS, AND ANY OTHER PRODUCT OR SERVICE
OBTAINED THROUGH TPPP. YOU ASSUME ALL RESPONSIBILITY AND RISK FOR
YOUR USE OF THE MATERIALS AND YOUR RELIANCE THEREON. NO OPINION,
ADVICE OR STATEMENT OF TPPP, WHETHER MADE ON THE TPPP’S WEBSITE
OR OTHERWISE, SHALL CREATE ANY WARRANTY.
THE MATERIALS ARE PROVIDED WITH THE UNDERSTANDING THAT TPPP IS NOT
ENGAGED IN RENDERING LEGAL, MEDICAL, COUNSELING OR OTHER PROFESSIONAL
SERVICES OR ADVICE, EXCEPT ADVICE SPECIFICALLY RELATED TO THE STARTUP OF
YOUR BUSINESS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN,
OBTAINED BY YOU FROM TPPP SHALL CREATE ANY WARRANTY NOT EXPRESSLY
STATED IN THESE TERMS AND CONDITIONS.
7. TO THE GREATEST EXTENT PERMITTED BY LAW, YOU EXPRESSLY ACKNOWLEDGE
AND AGREE THAT NEITHER TPPP NOR ANY OF ITS AFFILIATES, SHAREHOLDERS,
DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS, AGENTS OR OTHER
REPRESENTATIVES, ARE OR WILL BE RESPONSIBLE OR LIABLE TO YOU OR TO ANY
THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL,
EXEMPLARY, PUNITIVE OR OTHER DAMAGES (INCLUDING, WITHOUT LIMITATION,
DAMAGES FOR LOSS OF BUSINESS OR LOST PROFITS), UNDER ANY CONTRACT,
NEGLIGENCE, STRICT LIABILITY, TORT OR OTHER THEORY ARISING OUT OF OR
RELATING IN ANY WAY TO THE MATERIALS, OR ANY OTHER PRODUCT OR SERVICE
PURCHASED THROUGH TPPP.

8. You agree to indemnify, defend and hold TPPP and its affiliates, shareholders, directors,
officers, employees, consultants, agents and other representatives, harmless from and against
any and all claims, damages, losses, costs (including reasonable attorneys’ fees) and other
expenses that arise directly or indirectly out of or from (a) Your breach of these Terms and
Conditions, and (b) Your activities in connection with the use of the Materials.
9. You and TPPP agree that the statutes and laws of the State of California, without regard to
the conflict of laws principles thereof, will apply to all matters relating to the use of the Materials.

  • Why would I leave insurance panels?
    Unfortunately, the answer to this question is not a simple one. Some therapists may charge low fees and struggle with burnout or financial resentment, while others may charge only premium fees and limit their accessibility. Here is my personal reasoning as to why I became an out-of-network provider. In my experience, insurance companies often:
    -Dictate the number of sessions a client can receive.
    -Provide reimbursement that is incommensurate with the quality of care I provide my clients.
    -Require me to sit on the phone for 1-3 hours to get paid or inquire about payment.
    -Dictate session length.
    -Limit a client's right to confidentiality.
    -Randomly audit due to session length or the number of sessions provided.
    -Insist on "clawbacks" (aka returning money to insurance) because notes do not meet insurance necessities or requirements.

    Each individual has a unique set of values that may shift their decision to stay with insurance panels or not. Above all else, my sincerest hope is that you make a decision which aligns with your specific goals, needs, and beliefs.
